1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the Watchlst application (the "App"), operated by Bradley Creative Group, LLC, d/b/a Watchlst ("Watchlst," "we," "us," or "our"). By creating an account or otherwise using the App, you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines, each incorporated by reference. If you do not agree, do not use the App.

2. Eligibility

You must be at least 16 years old to use the App. By using the App, you represent that you meet this age requirement. If we learn that a user is under 16, we reserve the right to terminate that account.

3. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to provide accurate information and to promptly update it if it changes.

4. Groups

The App lets you create or join a "Group" — an informal, group-chat-like feature that lets multiple individual accounts watch and track the same shows or movies together. Groups are not a formal membership structure: no one is bound to a Group, you can leave at any time, and being in a Group creates no obligation beyond the App's normal Terms. Each account belongs to a single Group at a time. Content and watch activity tagged to a Group is visible to that Group's other members according to the tagging and visibility rules built into the App (e.g. items tagged to an individual member vs. the whole Group).

5. The Service

Watchlst is a shared watch-tracking tool for TV shows and movies. Features include cataloging what you or your Group is watching or wants to watch, tracking watch progress at the episode and movie level, tagging who a title belongs to (an individual member or the whole Group), and social features such as following other users and liking titles or activity. Following and liking are visible only according to each user's chosen privacy settings — private profiles require follow approval before a follower can view relevant activity.

Paid subscription tiers may unlock additional features, including expanded visibility and discovery tools. Not all features are available to all users or account tiers, and features may change, be added, or be removed at our discretion.

6. User Content

You retain ownership of the notes and other content you upload to the App ("User Content"). By submitting User Content, you grant Watchlst a limited, perpetual, irrevocable, non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and process that content solely to operate, maintain, and improve the App, including any features you enable that make your content visible to others (such as follow/like features or Group sharing).

You represent that you own or have the necessary rights to any content you upload, and that it does not infringe the rights of any third party.

Watchlst may also use anonymized or aggregated data derived from User Content (which does not identify you) for product improvement and marketing purposes.

7. Metadata and Third-Party Content

Show, movie, and person information (titles, artwork, cast, episode details, and similar metadata) is sourced from The Movie Database (TMDB) and is not owned by Watchlst. Watchlst is not endorsed or certified by TMDB. Synopsis narration in the App uses an AI-generated voice.

8. Prohibited Conduct

You agree not to:

  • Harass, threaten, or abuse other users
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Post spam, unsolicited advertising, or fraudulent content
  • Upload content that is unlawful, infringing, or violates the rights of others
  • Attempt to interfere with, disrupt, or gain unauthorized access to the App or its systems, including another user's account or Group
  • Use the App for any commercial purpose not expressly permitted by these Terms
  • Scrape, crawl, harvest, or download App content or data in bulk, or use any automated means to access the App, except as permitted via an official API we may offer
  • Use following, liking, or messaging features to harass, spam, or repeatedly contact a user who has blocked you or asked you to stop

Additional community-specific conduct standards are set out in our Community Guidelines, which apply alongside these Terms.

9. Moderation and Enforcement

Watchlst reserves the right, in its sole discretion, to remove content, suspend, or terminate any account that violates these Terms or our Community Guidelines, or that we otherwise determine, in our sole judgment, is harmful to the App, its users, or third parties. We are under no obligation to provide advance notice of such action, though we will make reasonable efforts to do so where practical.

10. Showcase, Following, and Visibility

Certain features (such as a showcase view of what you're currently watching, and the follow system) make parts of your activity visible to other users based on your chosen privacy settings. This showcase is visible only to other users within the App — it is not a public, unauthenticated web page and is not indexed or accessible outside the App. Private profiles default to requiring follow-request approval before a follower can view your activity. You are responsible for choosing what to make visible and to whom.

11. Subscriptions and Payment

The App may in the future offer paid subscription tiers unlocking additional features. No subscription is currently available. If and when subscriptions launch, this section will be updated to describe billing terms, the payment processor used, cancellation, and refund policy before that feature goes live.

12. Intellectual Property

The App, including its design, branding, logos, and underlying software (excluding User Content and TMDB-sourced metadata), is owned by Watchlst and protected by intellectual property laws. "Watchlst" is claimed as a common-law trademark of Bradley Creative Group, LLC, d/b/a Watchlst; federal registration has not yet been completed. You may not use our branding without prior written permission.

13. Copyright Complaints (DMCA)

We respect the intellectual property rights of others and will respond to notices of alleged copyright infringement that comply with the U.S. Digital Millennium Copyright Act ("DMCA").

13.1 Filing a Takedown Notice

If you believe material on the App infringes your copyright, send a written notice to our Designated Agent below containing: (a) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing, with information reasonably sufficient for us to locate it; (d) your contact information (address, phone number, email); (e) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the notice is accurate and that you are authorized to act on the copyright owner's behalf.

Notices sent to any other address or contact may not be processed as a valid DMCA notice.

13.2 Counter-Notification

If you believe your material was removed in error or misidentification, you may submit a counter-notice to our Designated Agent containing your signature, identification of the removed material and its prior location, a statement under penalty of perjury that you believe the removal was a mistake or misidentification, and your name, address, phone number, and consent to the jurisdiction of the applicable federal court. Upon a valid counter-notice, we may restore the material within 10–14 business days unless the original complainant files a court action seeking a restraining order.

13.3 Repeat Infringer Policy

We will, in appropriate circumstances and at our sole discretion, disable and/or terminate the accounts of users determined to be repeat infringers of the intellectual property rights of others.

14. Third-Party Services

The App relies on third-party service providers, including Supabase (database, authentication, storage), PostHog (analytics), and TMDB (metadata). A payment processor will be added to this list if and when subscription features launch. We are not responsible for the availability or performance of these third-party services.

15. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHLST AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR WATCH HISTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WATCHLST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER ANY CAUSE OF ACTION OR LEGAL THEORY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR ONE MONTH OF PREMIUM-TIER SUBSCRIPTION SERVICE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

17. Indemnification

You agree to indemnify and hold harmless Bradley Creative Group, LLC, d/b/a Watchlst from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the App, your User Content, or your violation of these Terms or our Community Guidelines.

18. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-law principles.

19. Arbitration Agreement and Class Action Waiver

You and Watchlst agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

The arbitration will be conducted by a single arbitrator and will take place in Michigan, or, at the arbitrator's discretion, may be conducted remotely or based on written submissions. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Fees will be allocated according to the AAA's Consumer Arbitration Fee Schedule then in effect.

You and Watchlst each waive the right to a jury trial and the right to participate in a class action, class arbitration, consolidated action, or representative action. Any claims must be brought in an individual capacity only. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

19.1 Right to Opt Out

You may opt out of this arbitration agreement by sending written notice to arbitration-optout@watchlst.com within 30 days of first creating your Watchlst account. Your notice must include your name and the email address associated with your account. If you opt out, neither you nor Watchlst will be required to arbitrate disputes with each other, and both parties retain the right to bring claims in court, though the remainder of these Terms (including the class action waiver as applied to any court proceeding, to the extent enforceable) will continue to apply.

20. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access to the App at our sole discretion, including for violation of these Terms or our Community Guidelines, without liability to you.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice through the App. Continued use of the App after changes take effect constitutes acceptance of the revised Terms.
